Founder

  • TRANSAMAX was founded by François St-Arnaud, a lawyer specializing in transfers of businesses. With more than 25 years of experience and having successfully participated in more than 150 purchase/sale transactions, he recognized that there were not many consulting firms handling the sales of companies to serve Quebec-based SMEs. Therefore he brought together experienced professionals to provide their services under the TRANSAMAX banner.

François St-Arnaud has practiced business law for more than 25 years, in particular in the field of mergers and acquisitions. Most notably, he has worked for venture capital companies where his role was to negotiate and close business purchase and sale transactions. In that capacity, he served on several corporate boards of directors.

Mr. St-Arnaud holds a Master’s Degree from the University of Edinburgh in Scotland. He stands out from the majority of lawyers due to his mastery of financial concepts. He is also known for his reassuring calmness in stressful situations.

Roger Durand has more than 30 years of venture capital experience in the SME market. He has worked as a fund manager and investor for two major venture capital firms in Quebec. His is known for his skills and qualifications by both peers and entrepreneurs in Quebec and Europe, with whom he has forged close ties. His abilities as an investor have enabled him to participate in the completion of more than 700 transactions over the course of his career.

Today, Mr. Durand is involved in strategic business development by providing a variety of professional services such as participating on boards, coaching management teams through expansion projects and completing projects for funding, succession and acquisition. He is known for achieving results while respecting a company’s values.

François-Guy Richard spent most of his career in the venture capital and private equity industry as a financial analyst (modeling and valuation), business valuator and an investment advisor. He has worked for Ernst & Young Corporate Financing, Capimont Technologies, the Société Générale de Financement du Québec (SGF), and the Fonds de Solidarité de la FTQ. Mr. Richard is known for his unique ability to juggle complex financial concepts.

Fees

TRANSAMAX provides services in two ways, depending upon the nature of the mandate:

- Upon success (commission-based) when selling a company;

- At an hourly rate for consulting work, if applicable (for example: taxation structure, succession planning, etc.)

Operation

Even though TRANSAMAX’s professionals can advise you on certain legal, financial and taxation aspects of a transaction, we respect your advisors and we will work with the professionals in whom you trust. In other words, if you already have a tax professional or an accountant, for example, we will be happy to partner with this person. The last thing we want is for your advisors to view us as a competitor, as we understand that teamwork is important to successfully complete the transaction.

Our Criteria

We seek mandates to acquire or sell Canadian SMEs valued between $1M to $50M, with a history of profitability. We do not usually seek mandates involving start-ups or companies in receivership.
